Terms of Service

Ce document est disponible en anglais uniquement.
1. Introduction and acceptance
These Terms of Service (“Terms”) are an agreement between you and Oversine, Inc., a Delaware corporation (“Versine,” “we,” “us” or “our”). They govern your use of the Versine mobile app, website at versine.com, API, MCP server and related software (together, the “Services”).
By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
Please read Section 11 carefully. It requires most disputes to be resolved through individual binding arbitration and waives your right to a jury trial or class action, unless you opt out as described there.
2. Eligibility
To use the Services, you must:
- Be at least 18 years old and able to form a binding contract.
- Be a resident of the United States, and use the Services only from the United States.
- Not be located in, or a resident of, a country or region subject to comprehensive U.S. sanctions, and not appear on any U.S. government sanctions or restricted-party list.
- Use the Services for your own personal, non-commercial purposes.
- Provide accurate, current and complete information, and keep it up to date.
You may have only one Versine account. You may not open an account for someone else or let anyone else use yours. Some features may not be available in every state; we will tell you in the app if a feature is not available where you live.
3. What Versine is, and is not
Versine is software. It lets you hold a balance in your own digital wallet, pay bank accounts, and set rules for payments that you or AI agents you authorize may make.
- Versine does not hold your money. Your balance is held as USDC, a U.S. dollar stablecoin, in a self-custodial wallet that you control with a passkey on your device. Versine never takes custody of your funds.
- Versine cannot move your money. Versine holds no private keys, recovery keys or other credentials that can move funds in your wallet. Payments happen only when authorized by your own passkey, either one at a time or through a payment rule you approved.
- Versine is not a bank, and does not offer deposit accounts, loans or investment products. Your balance is not a bank deposit and is not insured by the FDIC or any government agency.
- Regulated services are provided by our partners. Identity verification, conversion between U.S. dollars and USDC, deposit accounts and payouts to bank accounts are provided by third-party providers described in Section 5, under their own licenses and terms.
Versine does not provide investment, tax or legal advice.
4. Your wallet and passkey
Your wallet is a smart contract account on the Base blockchain. Its owner is a passkey created on your device and stored in your device’s keychain (for example, iCloud Keychain or Google Password Manager).
- You are responsible for your devices and passkeys. Keep your devices secure and protect access to your keychain account. Anyone who can use your passkey can authorize payments from your wallet.
- We cannot recover your wallet. Because Versine holds no keys, we cannot restore access if you lose every device and keychain that holds your passkey. We strongly recommend adding a second passkey on another device.
- Transactions are final. Once a payment is authorized and recorded on the blockchain, it generally cannot be reversed by you or by Versine.
- Stablecoin risks. USDC is issued by Circle, a third party, and is designed to be redeemable one-for-one for U.S. dollars. Its value, availability and redemption depend on its issuer, and could be affected by events outside our control, including regulatory changes, technical failures or loss of the peg.
- Blockchain risks. Blockchain networks can experience delays, outages, congestion or software vulnerabilities, including in smart contracts. Versine does not operate the Base network.
We may sponsor network fees (“gas”) for your transactions. We may stop doing so at any time with notice.
5. Third-party providers
Some features are provided by independent third parties, not by Versine:
| Provider | What they provide | Their terms |
|---|---|---|
| Bridge Building Inc. (“Bridge”) | Identity verification, conversion between U.S. dollars and USDC, deposit accounts, and payouts to bank accounts | Bridge User Terms; privacy policy |
| Stripe Payments Company (“Stripe”) | Card, Apple Pay and bank purchases of USDC through Stripe’s crypto onramp, delivered to your wallet | Fiat-to-Crypto Onramp Terms; privacy policy |
| Coinbase, Inc. | Card, Apple Pay and Google Pay purchases of USDC | Guest Checkout Terms of Service; User Agreement; privacy policy |
| Coinbase, Inc. and Coinbase Crypto Services, LLC | Wallet infrastructure and network-fee sponsorship on the Base network, provided to Versine | Coinbase Developer Platform Terms of Service |
Coinbase’s developer platform terms are between Coinbase and Versine, and you do not need to accept them. If you buy USDC through Coinbase or Stripe, you will be asked to accept that provider’s terms first.
- Their terms apply. Before using a provider’s service, you must accept that provider’s terms and privacy policy. Those terms govern that service, and your relationship for that service is with the provider.
- Identity verification. To add money by bank transfer or to send payments, you must complete identity verification with Bridge. We collect this information in the Versine app and pass it to Bridge, as described in our Privacy Policy.
- Provider decisions. A provider may decline, delay, hold or reverse a deposit or payout, or limit or close your access to its services, under its own policies and legal obligations. Versine does not control these decisions.
- Limits. Providers may set limits on deposits and payouts. We will show applicable limits in the app where we can.
6. Payments, claim links, payment rules and AI agents
Your authorization. Every payment from your wallet is authorized by you. You authorize a payment either by approving it with your passkey or by approving a payment rule in advance. You are responsible for checking the recipient and amount before you approve.
Payments to bank accounts. When you pay a bank account, USDC is sent from your wallet to Bridge, which converts it to U.S. dollars and pays the account by ACH or FedNow. Standard payouts usually arrive within 1 business day; instant payouts usually arrive within minutes. Timing is not guaranteed and depends on the provider and the recipient’s bank.
Claim links. You can send a payment as a link. The recipient opens the link and enters their own bank details to receive the funds. Funds stay in your wallet until the recipient claims them. You can cancel an unclaimed link at any time, and unclaimed links expire after 7 days. Anyone with the link may be able to claim it, so share it only with the intended recipient.
Payment rules. A payment rule lets a payment repeat or run when a condition is met (for example, rent on the 1st of each month) without approving each payment. Each rule pays only the one recipient you choose, up to the maximum amount and until the end date you set. Payments under a rule may be started by you, by Versine’s software on the schedule you set, or by an AI agent you connect. Versine cannot change a rule’s recipient or raise its limit. You can cancel any rule at any time; cancellation does not affect payments already sent.
AI agents. You may connect AI assistants or other software (“Agents”) to your account through our MCP server or API.
- An Agent can only use the payment rules you approved, and can request other payments for you to approve.
- You are responsible for the Agents you connect and for payments they make within the permissions you grant, even if an Agent makes a mistake or acts in a way you did not expect.
- AI agents can be wrong or manipulated. Set limits you are comfortable with, and review requests carefully.
- You can disconnect an Agent at any time in the app.
Errors and unauthorized payments. If you believe a payment was made in error or without your authorization, contact us right away at support@versine.com. Because payments are recorded on a blockchain and paid out by our providers, we may not be able to reverse them, but we will help you work with the provider where we can.
7. Fees
Creating an account and making standard payouts are free. We charge a fee for optional instant payouts, and we always show the fee before you approve the payment. Our providers may charge their own fees, which we will show where they apply. Current fees are listed at versine.com/fees.
We may change our fees by giving you at least 30 days’ notice. A fee change does not apply to a payment you approved before the change.
8. Prohibited uses
You may not use the Services, or allow an Agent to use them:
- For any illegal activity, including fraud, money laundering, terrorist financing or evading sanctions.
- For gambling, betting or games of chance.
- For adult content or sexual services.
- For cannabis, marijuana or other controlled substances.
- For weapons, firearms, ammunition or explosives.
- To buy or sell illegal goods or services, or stolen property.
- To receive payments for a business or as a merchant, or to provide payment, money transmission, exchange or remittance services to others.
- To pay or receive funds on behalf of another person.
- From, or on behalf of anyone in, a country or region subject to comprehensive U.S. sanctions.
- With false, stolen or another person’s identity information.
- To interfere with, attack, reverse-engineer or gain unauthorized access to the Services or other users’ accounts.
- To harass, defraud or scam other people, including through claim links.
We may report suspected illegal activity to our providers and to law enforcement.
9. Suspension and termination
We may suspend or end your access to the Services, or to specific features such as payouts, payment rules or Agent access, if we reasonably believe you have broken these Terms, if required by law or by one of our providers, or to protect you, other users or the Services. Where the law allows, we will tell you why.
You may stop using the Services and delete your account at any time.
Your funds remain yours. Because your wallet is self-custodial, suspending or closing your Versine account does not take your funds. Where the law and our providers allow, we will give you at least 30 days to withdraw your balance to your own bank account. Your passkey continues to control your wallet on the Base network, so you can also move your funds using other compatible wallet software.
Sections 3, 4, 6 (Errors and unauthorized payments), 10 and 11 survive termination.
10. Disclaimers, limitation of liability and indemnity
Disclaimers. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT ALLOWED BY LAW, VERSINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY PAYMENT WILL ARRIVE BY A PARTICULAR TIME. WE ARE NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF OUR PROVIDERS, BLOCKCHAIN NETWORKS, STABLECOIN ISSUERS, AGENTS YOU CONNECT, OR RECIPIENTS.
Limitation of liability. TO THE FULLEST EXTENT ALLOWED BY LAW, VERSINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. VERSINE’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO VERSINE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. Some jurisdictions do not allow these limits, so some may not apply to you.
Indemnity. You agree to indemnify and hold harmless Versine and its officers, employees and agents from claims, losses and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of law, or payments made by you or by Agents you connect.
11. Disputes, governing law, changes and contact
Informal resolution first. Before starting arbitration, contact us at legal@versine.com and give us 30 days to try to resolve the dispute.
Arbitration. Any dispute that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its consumer rules. Either party may instead bring an individual claim in small claims court.
Class action waiver. You and Versine may bring claims only individually, not as a plaintiff or class member in any class, collective or representative action.
Opt-out. You may opt out of arbitration by emailing legal@versine.com within 30 days of first accepting these Terms.
Governing law. These Terms are governed by the laws of the State of Delaware & California, without regard to conflict-of-laws rules, and by the Federal Arbitration Act.
Changes. We may update these Terms. If we make material changes, we will notify you in the app or by email at least 30 days before they take effect. Continuing to use the Services after that means you accept the updated Terms.
Other terms. These Terms and our Privacy Policy are the entire agreement between you and Versine about the Services. If any part is found unenforceable, the rest remains in effect. You may not transfer these Terms without our consent; we may transfer them in a merger, acquisition or sale of assets.
